about 15 hours later....finally figured it out.
Windows 2000 SP4 patched, etc. So I start uninstalling programs one by one..blah blah. Reinstall windows 2000 sp4 with update rollup 1, etc. Yes lastest nvidia drivers, etc.

So what was the culprit. Leadtek Winfast 6600GT $170 AGP video card. Yea it played video games just fine but no windows media (.wmv ). As soon as I'd click dvdshrink it'll max CPU out at 99% and I'd have to close it with task manager. Dvdshrink window wouldn't show nothing. The actually culprit is directshow which is part of directx. Anyway I'm guessing it a hardware defect.

So what was the solution. Put back my Geforce Ti4400 and all is well. This 6600GT is heading back to newegg.

edit:
submitted RMA
Restocking Fee: $25.65
nice..thanks newegg!!!

Wow my chaintech geforce 6600gt works great with dvd shrink, and decrypter. A matter of fact I bought that card for games, and ended thinking how great it works for video. Just a great picture. I am using windows xp pro. I also got mine from newegg. I'm new here I haven't really commented as there are so many rules I can't remember all of them. But I don't even use that card hardly for gaming it just works so good to watch movies on my pc. Better than most hidefs I seen in stores. I know they would look much better calibrated in home, but my pc looks great with that card it isn't the pci it's the agp slot.

I forgot to add my computer would not run at first with this card ( well it would just wouldn't do much ). It needs to be connected to the power supply. Plus I had 350 watts of power, and that was not enough to run this card. I coudn't even rip a cd to my media player without it shutting down. So I got a cheap 550 watter ( like 15 dollars ) and everything is pretty stable now. So this card takes some power especially if your running a dvd burner. I don't know if this helped, but that's my experience with it. Now that I have enough power I love it especially for watching movies on my pc it's Hidef capable also.

Hmmm, I actually have two of these cards, (Leadtek 6600GT TDH) running in SLI mode...haven't noticed anything unusual yet.
Maybe it was a defective card....

I got the exact same video card and both cards are just fine, work great, no problems at all.......IF you run them under WinXP. Simply doesn't work with Windows 2000. Nothing at all about WinXP appeals to me over win2000. It's crazy a video card forced me to install WinXP. Now dvdshrink works once again.
