i know oveclocking* your cpu shorten it's life spand, but only been 8 month since i'd install an 2500+
when i edit an sound file in goldwave, i notice my pc temporary tends to freeze for about 10 sec (sometime it just stay frozen), and it's not the memmory, cause it's new, and somehow extending the freeze time
are there any way to find out if the cpu is burning out**?
i got about 4 months left of warranty, can they tell if its' been overclock?
* when encoding the video
** it's not overheating, never gets past 43 degees

not just any given ram works perfectly fine with any given mobo (using what bios settings?)
your cpu may be the scapegoat but then ram/bios settings might be as well

well, your cpu might be the reason but there might as well other factors when it comes to problems like the one you're describing

it's not the memmory, cause it's new Is it brand name RAM? If not, it's highly probable that it's the scapegoat. Even if it is brand name RAM you might have gotten a bad stick (I have two sticks of Corsair XMS that won't run stable at their certified speed and timings - unfortunately I found out too late to RMA them... in this case it's not too bad cause I can still run them CAS 2-2-2, but I had to increase CMD to 2 plus some one or two other values)
How do you overclock? Through FSB or multiplier? If it's through FSB then every single part of your system can be at fault (even some PCI devices can cause your system to be instable when the FSB is o/c'ed). Also if you o/c the FSB then your RAM is o/c'ed and is probably the first part of the system to become unstable, even before the CPU does (Temp of 43°C is very OK for an Athlon CPU - if it stays below 50°C you're usually on the very safe side)
What I'd do first if you o/c'ed your FSB is to increase RAM timings (usually you have to choose "manually" and not "by SPD" then you can either choose single numbers or you have settings like "fast" and "slow") and to cool your Northbridge more effectively. The NB is not cooled very well on most mobos but it needs effective cooling when o/c'ed!

the old one was spectek pc2700, the new one was geil gl5124000asc (return), i only o/c to encode the video, not the audio

I have read this before. But I have never seen it even using somewhat aggressive overclocking.
If you aren't increasing your voltage to achive your overclock, then it's definately some other problem. Even with 10% voltage increase, you shouldn't get into any trouble. You say it isn't overheating because you have temps of 43C. If that's your loaded temp, you're right. But to make sure, you should activate a temprature monitor and note the temprature at the time of the crash.
And as theReal noted, if you are increasing the FSB to overclock, it could be lots of things. If your MB doesn't have a PCI lock, then any add-in card could be causing it.

You mean you experience these problems when not overclocked at all? If so, it's definately something else. I would go into the bios and use the most conservative settings available. Something like "Use SETUP defaults." If your problem persists, then start swapping out hardware, beginning with the memory chips (using just one stick at a time too), piece by piece until you isolate the problem. If this doesn't help, then it's either the MB or not hardware at all.
