i have an xvid with qpel,,i have the dvp642,so qpel wont work,,,anyway,i took the file used fast recompress in vdub,with the xvid codec,,the target quantinizer is at 1,,the bit rate is the same as original,single pass,motion search is at 6 and the vhq is at 4,,,,ok the file encodes but now the colors are very drab compared to a side by side with the original,,using the same player

Probably an output issue. Like one video using hardware DX overlay and the other not.
Try using avisynth to crop say the left side of one and the right of the other and then stackhorizontal(). See if you can see any difference then.

Or just open them in a different vdub and compare that way. Most likely the different overlay is causing the color differences.

the overlay is how the finished file is played back right??

Yeah its how the file gets rendered. So you will get varying results when you try to compare files when you just load them in a media player since a different overlay causing differing results (such as different colors and it being brighter or darker then the other). Comparing using VirtualDub eliminates this problem.

...and only if you don't enable "directx overlay support" in vdub :) Else you run again into the problem that you can only use one hardware overlay with your preferred settings and the other file is rendered another way.
