hard problem with audio sync

Hello

i have a hard problem with audio sync in my last "production"... and i very need your help.

i have two *avi files from the same movie:
1. NTSC 29.97 fps, time 1:39.11.66/5951,66 sec. (cut end credits !!!), audio 44100 Hz (262_463_616 samples)
2. PAL 25 fps, time 1:36.02.76/5762,76 sec. (full lenght), audio 48.000 Hz (276_612_480 samples)

I want to exchange audio in them: from NTSC to PAL movie.
I try many ways (ex. time strech in Auditon, change FPS in BeeSweet) and... complete defeat :(
how to make this ??? any idea ?

I had the same problem once, and it was a headache to solve, at the end I give up....But what I can suggest you is to time strech in Audition or Audacity and then open the two tracks in one of the Audio Editors, as a multitrack (one in the top of another) and try to resync...
