I have heard somewhere that DivXnetworks is working on an H264 codec. Is it true?

If they are, it certainly won't be called DivX, this will lead to misunderstanding by people buying DivX certified hardware.

Why not ...

DivX 6 could make encoding in MPEG4 ASP and MPEG AVC ...

i think dxn has invested that much in bringing mpeg-4 asp on standalones that they really will not have an interest in bringing people to new, not compatible solutions (which includes audio, video and container)

instead they will expand their current way afap in a backwards compatible manner

I'm not sure about that.
Maybe they could define some "higer level" profiles...
Something like DivX classic (MPEG4-ASP) and DivX HQ (MPEG4-AVC)...
Thats only one idea.
However i cant see any reasons to not move to AVC and .MP4 unless they have some "pervert" ideas...

I can't give you any details on DivX 6 just yet, implied, interpreted, or otherwise ;)
