Hi there!
I've generated a few avi and mpeg files from DVD sources, and I had the experience, since my first mpeg, that the audio (in that case mp2) should be the same khz as the source: AC3 48 Khz --> mp2 48 Khz. and of course, the same case with on an mp4 conversion: AC3 48 Khz --> MP3 48 Khz.
The question is: Can I generate an mpeg or an avi, from a DVD source(AC3 48 Khz) with an mp2 or mp3 at 44.1 Khz, without having any synch problem?
There is a program: DVDx, that actually can do that automatically. So, the fact is there... How to do it if you use TMPGEnc or Dr. DivX?
Greetings! :D

You need to use a higher quality sample rate converter; for example SSRC (often considered to be one the best around, especially considering it's price tag ;))

Download from here:
http://rarewares.org/others.html
(it's called Shibatch Sampling Rate Converter - Shibatch is the author)

It can be used as a command line, or happily, it can be used with TMPGEnc:
Option --> Environmental Settings --> Audio Engine --> Sampling frequency converter --> External program --> point to SSRC.exe
