so i've gone through a handful of vga to tv convertors and grafics cards w/ tv out, not satisfied with any of them....
these are some of the problems i've had....
wavy edges, overscan/underscan , bad quality, no color adjustments..
any suggestions for an external vga to tv convertor, or a PCI grafics card w/tv out

Assuming you ask in regard to movie watching. And assuming you have a european type of tv, so no HDTV (for witch there are tons of good options). I use a direct drive cable to feed the VGA RGB signal to the scart connection on my European TV. I own a radeon for witch I have used the following link to create the cable:

Use powerstrip to adjust the RGB output to PAL or NTSC resolution and timings. You need to fiddle around a bit with the timing to get perfect picture. These are my powerstrip settings which you can paste in the advanced timing options of powerstrip after you have added the resolutions 720x576 and 640x480:
Pal:
720x576=720,51,40,125,576,7,8,34,14625,312
NTSC:
640x480=640,37,32,91,480,10,1,34,12600,312
Sync polarities are positive and the signal needs to be interlaced.
If these timings don't give you perfect picture be sure to lock the frequencies and geometry and then adjust the sync width.
As playback software I use Joveplayer 3.0 beta (http://www.8dim.com), whick works very nice.
In my setup this gives me super picture quality for movies (comparible and sometimes better then my Xcard hardware decoder with RGB output) and it even works with some games. If you don't own a Radeon chances are your VGA card can not output composite sync so you will have to build a timing converter (http://www.electronics-lab.com/projects/pc/012/) yourself.

You should list what you've tried, so that people won't recommend things that you're already not satisfied with.
I use an ATI Radeon 9200 and a All-In-Wonder Radeon 9600XT, both with composite and/or SVGA connectors into a Panasonic 32" HDTV capable television (CT32HL42), but not in HD mode. The picture quality is excellent, at least as good as any stand-alone progressive scan DVD player using Svideo connectors, and there are more than enough color/size/centering adjustments available in any of the latest ATI Catalyst drivers.
