that is the cmd im using...
besweet 1.4 and stable gui
if i do not change the framerate i get audio...but i really need it changed with the exact rates i have above in the cmd.

29996 to 29970? That's an extremely small change, I doubt besweet supports it, it's mainly intended for common changes. Look to a wave editor that supports stretching.

adobe audition? cool edit pro? (same program)...

audition worked perfectly! used besweet to output the bad file but the length was correct....
using the file with correct length but bad audio...
in adobe audition used the effects menu/time.pitch/stretch
put the ratio at 100% which gave me the correct length.
copied the length
loaded the wav with good audio but was too long....
in adobe audition used the effects menu/time.pitch/stretch
put the length from the first file into the length field and then using the default options there let it process the audio.
and the audio is not in sync and the pitch was changed but tempo remained the same but it is had to tell that audition changed the pitch much because of such a small change. it came to be a ratio of 99.913% with my audio files
solved my own problem!
