Invalid Frame count?

I have a bunch of AVI files from a TV series and they all seem to be pretty much the same. Each is around 365 megs in size, and have a duration of 44 minutes, and have a frame count in CCE of around 63,597. They all seem to convert into m2v and ac3 fine. I have one episode that has the same file size, and shows the same durataion, however the frame count is 79,495. Once converted, the audio and video are totally out of sync after the first minute or so of the conversion. I've tried a new copy, but they are all the same for this episode. Any suggestions on how to fix this? Thanks.

Little more info. I noticed that this particular video had a FPS of 29.97 where all the other episodes are 23.97 file source. If I re-convert this one using CCE, it comes out to more around 55 minutes. I've also seen some players show in the properties that the original AVI file was 33 minutes. Not sure what's going on with this particular file.
