DivX 3 to MPEG4 Simple Profile transcoding is evil (any transcoding is evil - it's quality loss). But maybe there are some tool (or, at least, theoretical ability ) to convert DivX3 to MPEG4 Simple Profile without reencoding. I think them both use simular algoritms, maybe some patch/hack around DivX3 stream can make it MPEG4 Simple Profile compatible.

DivX 3 to MPEG4 Simple Profile problem is rising becose HW Players can't play DivX3 properly and there are huge collections in DivX3 format...

As far as I know DivX 3-playback is less problematic on modern MPEG4-capable standalones than is DivX 5/XviD-playback, because they don't support q-pel, b-frames and other advanced features...
I'm currently waiting for the hardware to arrive to build myself a VDR-box (http://www.cadsoft.de/vdr/), which I plan to equip with MPEG4-playback (and furthormore I plan to include everythingelsepossiblyimaginable-playback as well :D).
I think that makes more sense than buying a MPEG4 capable standalone player (even if they are surprisingly cheap these days).

It's wrong - DivX 3-playback still problematic bcz hardware MPEG4 Decoding Chips oriented on MPEG4 ISO Advanced Profile playback and DivX3 is NOT MPEG4 ISO Advanced Profile :(

And I never use q-pel and gms in my own rips :)
