I've never messed around with midi, but I did a search ;) on Hydrogenaudio and google, and found two items that might be of interest to you:

a MIDI faq (http://www.soniccontrol.com/tech/midi/faq/)

AnvilStudio (http://www.anvilstudio.com/), may be helpful for creating files.

Listen to the song and start notating the notes in a sequencer like Cakewalk (or AnvilStudio or whatever you like)

As far as I'm concerned, there is (for now) NO prog that can correctly transcribe complex music (that is to say more than one single instrument together...) to midi. You can transcribe a guitar solo, or a whistle, or a (very well tuned) voice, but trying to process more than one will give you messy results. For what I tried. It's better to follow Slogra's advice.
