Clipping Prob with 48000hz

I have a 44100hz MP2, when I convert it to a 48000hz ac3 there is alot of clipping, which isn't present in the original..

Now if I convert it to a 48000hz mp2 it plays far too fast!!

Any tips would be appreciated as I am new to all this malarky :D

Try expanding to a wav first.
