Ok killingspree was just trying to tell you the rules. You should follow them.

What you need to do is extract the audio with VdubMod, then you can use besweet to convert your AC3 file into an MP3 at whatever bitrate you want.

ok and here's the guide to it:
http://www.doom9.org/vdubmod-procedures.htm it starts quite a bit down the page...

to the rules, let me elaborate a bit more detailed:
1) please do not talk about downloaded content, as rule 6 states. not that I personally have a moral problem with dealing with downloaded files, but the whole community is always a bit on the edge between something acceptable by associations as the RIAA or being illegal in their eyes. so please if you are dealing with downloaded content for gods sake don't mention it.

2)please read up before posting. this is an answer that has been covered in at least a hundred posts and has been explained in greatest detail: the search (http://forum.doom9.org/search.php?s=) funktion should be your best friend around here... also please always first check out the doom9.org guides. they contain a huge amount of information nicely digested for people new to the scene.

3)please formulate your questions properly and in detail. for example in this post it wasn't clear to me if you wanted to extract the ac3, throw it away and mux another mp3 file into your file, or as Hiro2k has assumed that you want to transcode the existing ac3 to mp3 to save space or ensure compartability...

bottom line: if you take time to read up first and formulate your question properly, you will not get such sharp answers as the one I posted above.
i hope this clearified some things...
