I have a Video that is 24.000 FPS, I want to convert it to 23.976 (I have avirate), however If I do that the audio will all be off, what is the easiest way to convert it to 23.976 FPS & Include the audio N'Sync? I have Vdub, TMPG etc.

As I mentionned many times before in the audio forum, Prosoniq TimeFactory is the software of choice for perfect time stretching (check your PM)
slowing down from 24 to 23.976fps will be 100.1% in the software.

I am having troubles getting this to work, I tried just extracting my wav from my video but it doesn't open in timefactory, also I tried just openig it as a split stereo and the program crashes, how do I go about using this?

Hi-
I wouldn't think that it's a .wav in the video. Point GSpot at it to find out what it really is (probably .mp3), and after you Save WAV in Nandub, change the extension back to .mp3 or whatever it is. Then you'll have to convert it to .wav yourself before opening it in your Wave Editor (unless the Wave Editor can do that for you).
