I simply want to downsample some of my mp3 (in 192 kbps) to lower bitrate so that i can fit that into my mp3 player.
Is there any tools out there that will do it conviniently?
Will the sound quality degrade SIGNIFICANTLY?

Any MP3 capable player should be able to play MP3 at any spec compliant bitrate ( 320 kbps ), else its not a MP3 player.
Are you perhaps referring to the sampling rate of the signal ? Some MP3 players can only play 44.1 KHz sampling rate material and will refuse 32 or 48 KHz material .... pls. find out and tell us what the problem is ..

Music Match Jukebox is an easy way to convert from 192 to 128 bitrate. I assume you are trying to put "more" individual files onto your MP3 player.
Quality will degrade from 192->128 but it still sounds ok (at least to my ears)
