Don't write your posts in bold. It's annoying to read.
But on to your question. Does your AVI play normally when you play it on your computer? Does it go out of sync when you try to burn it to a CDR?
I know that VBR will cause movies to go out of sync in some cases, so if all else fails, just convert the MP3 to a CBR and remux it.

Easy easy ... extract the sound from the AVI using AVI2WAV, strip it using WAVEMP3 to obtain a plain MP3, load the MP3 into RazorLame, decode to WAV, encode the WAV to MP2 using TMPG. Multiplex the MP2 file with your m2v video file in a suited application (StreamWeaver? DVD Quick Builder? Spruce Up?)

In WaveMP3 it comes up with an error saying that the file isn't a valis MPEG-Layer 3 file.
Now what??

How Do I Multiplex the M2V and MP2 files in SpruceUP?

Name the MP2 as your M2V file.
For example if your m2v file is test.m2v, rename your mp2 file to test.mp2 and put it on the same directory as the m2v file.
Now when you load the m2v file in SpruceUp, it will load the mp2 file automatically with it.
Just in case, if it doesn't load, you may change the extension of the mp2 file to mpa.
