Are B-Frames really worth the cost of going through the trouble of getting rid of that annoying spyware ?
I use the divX 5.02 basic now and the quality is good enough for me so I stick with it.
Any thoughts ?

I think they are absolutely worth it - you'll get the same quality with 20% less size (or better quality at the same size).
It's not that much trouble: install Divx 5.02 pro, open the taskmanager and terminate trickler.exe (or gain_trickler.exe, something like that). Then run ad-aware and remove all but one registry entry (the gator key with the long numbers).
You'd want to run ad-aware every few weeks anyways, so it's not too much trouble, I think.

If you don't want to have to search and edit the registry simply use a firewall and don't let trickler access the internet. Either way it is worth being able to use b frames.

...another option to keep the gain_trickler.exe from being run: download RegCleaner from www.jv16.org and look at the "Startup List" tab. Mark and delete all apps and services that you don't want to run automatically at start up. It's worth it anyways - you'll see that a lot of services are not necessary at all and you can get rid of them as well (stuff like auto-updaters or things like NeroCheck - I don't know what it's for, but you can remove it ;))

Or you could just run msconfig and remove the startup items that way. :)
