I was wondering if anyone knows of any tools out there that can change the fps of an avi, AND stretch or compress the audio so that it doesnt get out of synch? The reason i need such a tool, is Adobe Premiere will only allow you to export in 23.98 fps instead of 23.976 fps for some weird reason.

What you need is Synchronizer! With this you can change the fps of the video and/or delay of the audio. I've been able to solve all my desyncs with this ;)
Get it here:

Keep in mind, getting the sync totally right can be a case of trial and error, but I bet anyone who makes divx's can handle it :D
