Divx to Vcd conversion Help (Subtitles also)

Hi, I am trying to find out how and what is the best way to convert Divx to Vcd format without any type of audio/video quality lost. I also have a rip of a movie that is 2 split avi files, each with its own .srt file for subtitles. Also would appreciate any help on how I can convert the divx file to make into vcd with the subtitles because the movie is actually in french. I am currently using TMPGEnc 2.52 to convert avi files (not divx) to mpg format and that seems to work perfect for me but when I try it with divx, I convert it out to a sample file of 3 minutes and when I stop it to test it out, theres is no audio. To fix the audio issue try to change the VFAPI plugin settings in TMPG (under options/enviromental settings) to the following values:

DirectShow: 4 (instead of -2)
AVI2(OpenDML): 2 (instead of 0)

To add subtitles you'll have to frameserve from VirtualDub, and add the subtitles with a subtitle filter. Follow Doom9 guides for more info.
