*Someone can explain to me why the incredible difference (40.1Mb) between the size of the videos 2 & 3 (VirtualDub & Ulead video editor) if are using the same codec at same bitrate? The quality of the videos is exactly equally.

did you use fast recompress in vdub?
that sometimes produces oversized movies,try with normal compress.

then, you didnt save audio and video separately, isnt it?
you just calculated the audio size then subtracted it from the movie to get the video size....
the fact is that filesize isnt equal to audio+video, but audio+video+av muxing, then filesize is bigger than audiosize+videosize.

did you set the same audio interleaving in vdub and ulead?

and you can use mp3 audio from within ulead,dont need ADPCM.

and you can use mp3 audio from within ulead,dont need ADPCM. At least with Ulead Video Editor 6.0 you can't use mp3 audio (Fraunhofer codec). Ulead complains about something and doesn't allow the use of the codec.

I have quite often used Ulead Video Editor for cutting avi and encoding it to Divx. I have never compared filesizes then, but after encoding the audio to mp3 with Virtualdub I always reached the desired filesize.
