on OS X, I am using a free tool called MP4Tools (https://www.videohelp.com/software/MP4tools) which allows me to do:

subtitle
1. hard subtitle: subtitle is burned into the video. requires video reencoding. I can use handbrake (https://www.videohelp.com/software/HandBrake) for this function.
2. soft subtitle: subtitle is not burned. When playing the video on something like VLC (https://www.videohelp.com/software/VLC-media-player), the subtitle is selectable in the subtitle option.

video and audio:
1. passthrough: allows the audio to be copied as is without reencoding. only possible if audio is already in a supported format like AAC
2. reencode video into an MP4 compatible format using the bitrate selected

MP4Tools (https://www.videohelp.com/software/MP4tools) can also accept MKV files and output them into mp4 format. Like perhaps I want to convert MKV to MP4 without reencoding.

I'm hoping there is 1 tool in Windows that can do all these.

Thanks!

I know Hybrid can do all that. On Windows MeGui and StaxRip should also be able to do that. Probably most encoding tools (on Windows) can do that,... -> Have you even bothered to try any tool? (can't handbrake do that too?)

There is no such tool.

Subtitles must be converted to TTXT (SRT)
Audio should be converted to AAC.
ASS/VOB/subtitle bluray --> SRT
AC3/AC4 --> AAC
attachmets, menu --> delete
You can add cover --> JPG, PNG (size as video)

I think Selur is right, these are all basic tasks many apps can do.

Have you tried box4? Terrific tool. No video encoding but great mkv/mp4 converter. Mkv tools does the job as for any sub addition.
