Simple tool for batch transcoding to MP4

Hi,
I'm looking for a tool that can do batch transcoding of my video files (both SD and HD) in various formats to MP4 (H264/AAC) for online sharing. The tool I'm looking for should be able to preserve the folder structure and apply the same encoding rule to all the videos. I'd also hope such tool have a nice and easy to use GUI, works with subtitles, and don't requires installation of additional codec/filter/splitter if possible.
Does such tool exist? Any suggestion is appreciated!

Please explain the nature of the video files, as you have stated your intent to redistribute them.

Thank you for your reply!
The videos are from camcoders, cameras or mobile phones. They are in different codecs:
1. mpeg2 from my old camcoder (Interlaced SD)
2. mov or mp4 from iPhone (Low bitrate HD)
3. mts from DSLRs (High bitrate HD)

Some have stereo AC3 sound track, others have stereo AAC sound track. The files are organized by events in folders/subfolders. My goals are:
1. Transcode all mpeg2 files to X264 for the sake of reducing size. I'd like to keep the quality as close to original videos as possible.
2. Transcode all HD to MP4 so that I can share in Skydrive with the same folder structure. The bitrate should be around 800-1000kbs.

I hope the above information clarifies my needs :)

The closest I can think of which might fit your requirements is ffcoder. (http://www.videohelp.com/tools/FFCoder) It has a "directory watch" function I've never used, but which I assume automatically re-encodes anything added to specified directories. It has an option to maintain the directory structure but I'm not sure that carries over to the "directory watch" function, although when adding batch encoding jobs "manually" I'd assume it would.
There's a portable version of the latest beta which includes a "setups" folder containing installation files for Avisynth and the Haali splitter. I don't think the former is required at all (except for xvid_encraw encoding) but I'm not sure when it needs the latter.
