I have been using handbrake on mac but what I noticed is that a 1.2gb mkv file might convert to a 900mb mp4 file. Does this mean that I am loosing quality during conversion? I thought it's supposed to do a 1:1 conversion but maybe I'm doing it wrong. Or maybe file size is not equal to quality loss. I'd rather it be a 1:1 conversion though.

HandBrake doesn't do 1:1 video copies. Try ffmpeg.

1:1 conversion is called remuxing. Elementary video stream (H.264, VC-1) is unchanged, just embedded into another container type. This process is lossless which means that output quality remains exactly same as input. If you just want to remux from MKV to MP4 there is an excellent tool called MkvToMp4 (http://forum.doom9.org/showthread.php?p=1537903#post1537903).
