As a dual core with low cache the Pentium DC G840 is probably one of the slowest Intel desktop cpus from Q2'11 or newer. That said is is still fine as it is pretty new. Here (http://www.anandtech.com/show/4524/the-sandy-bridge-pentium-review-pentium-g850-g840-g620-g620t-tested/3) are some x264 and other benchmarks.
Win 7 x64 is better than XP 32, espically with 8 GB of RAM installed as 32 bit XP cannot use more than something <4GB.

You probably won't be running out of memory for video encoding. In any case, use Windows 7. XP is close to end of life, and Windows 7 is so much better in every respect!
Also, this is a very slow CPU by today's standards. If you plan on doing a lot of x264 encoding, I'd suggest you look at an AMD CPU, as they tend to have good cheap CPUs that perform well in x264, relative to similarly priced Intel CPUs.
Get a quad core if you can, even if it has a lower clock speed. 4 cores at 2 GHz is better than 2 cores at 2.8 GHz for video encoding.

this configuration is good and easy for any video encoding. but if you want more extraordinary encoding try to upgrade!!
