There are certain kinds of streams and/or situations that can't be handled directly from an M2TS (e.g. VC-1 field-based interlaced) -- so they have to be converted to MKV before encoding. I can't remember whether the issue is within FFDSHOW or HAALI...
I have no idea about the 12.75GB of RAM -- but it doesn't do so on my system (I only have 8GB).
