VC-1 to H264. How?

I have some wmv containers in which there's VC-1 video stream 1440x1080 px.
I want to reduce the video to 720p 1280x720 (cropping the black bars) and encoding to H264.
At last I want to mux the H264 stream in a MKV.

How can I do that?

Load into MeGUI or Ripbot or ASXGUI or AutoMKV (or whatever else you like), and encode. If not already automatically muxed, then mux with MKVToolnix.
