You just need a cd ripper to extract the wavs and an ac3 encoder. Theres lots of programs that can extract the audio, heres a partial list from wikipedia:

* Exact Audio Copy (EAC)
* foobar2000
* iTunes
* Jack! The Knife
* MediaMonkey
* Musicmatch Jukebox
* Ripstation Micro Freeware
* Spider Player
* Winamp
* Windows Media Player

For ac3 encoding you can use eac3to, its reliable and well supported by the author. its a command line interface program though if you're not comfortable with that theres a gui available too.
