Xvid encoder bitrate set to 4 Mbps , resulting file has bitrate 2 Mbps or > 10Mbps

I encoded HDV 720p video to xvid using megui and virtualdub and set the bitrate to 4000 kbps on second pass , but the resulting file never has bitrate near that value .

Its diffrent always , sometimes its less like 2 mbps , and sometimes its 25 mbps .

Did you read the over/undersize sticky? Or the presets sticky? You have to use unrestricted encoding to always get a specific size, but you're better off using the profiles as they're meant to be used.
