My source is 1080i30. I want make high quality deinterlacing with motion compensation for produce 1080p60 or 720p60. Possible to make that with MVTools?

Sure.
1) MVBob. Good, slow.
2) MCBob. Better, slower.

Let me put it like this -- with my old XP1800+ /w 512MB RAM, I would not even dare to try that. :D

Is 2GB XP 32-bit enough? MCBob doesn't run at all for me with 1080i. Seems like MCBob is having trouble allocating big enough chunk of memory...

Have you tried the SetMemoryMax(1024) command at the start of your avs ?
Might also help to check how much ram it users with performance monitor or task manager.
