there must be some diferences between these AC3 samples (they are from diferent movies). Is there any way to convert sample 2 so that it has exacly the sama quality as sample 1? I mean bitrate, dynamic rate - everything.

No, they are the same. Sample 1 is not equal sample 1 quality.

No, they are the same. Sample 1 is not equal sample 1 quality.
Of course, recoding you can never gain quality, only volume or hide some defect.
