Convert mp3 to mp3 and keep ID3 tags

Hello, I would like to convert mp3 files to 80kbps 32KHz mp3s, and I want to keep the ID3 tags.

I tried with lame, but i could not find any commandline switch for copying id3 data.

Please let me know if there is a possibility (prefereably commandline) to convert any mp3 to 80kbps 32KHz and copy ID3 tags.

Foobar can do this (free) and also DBPoweramp (free but not for mp3). Don't know about cmdline though
