I've got a HDTV video
The Matrix (HDTV, H264 1280x720p 23.976fps, 5.1 AAC)
I would like to reencode it to Xvid to play with my PAL standalone DVD player.
What is the best way to change fps from 23.976 to 25.000 as it is for PAL?

Please read and follow forum rules, specifically, rule 12: do not ask what's best. Also, rule 1: use search (there are lots of threads on conversion to PAL).
One option is DGPulldown (23.976 -> 25 mode).

Most XviD Standalones will handle the NTSC framerate without a problem, so it should be possible to leave the framerate as is.

doesnt matter :)
only would matter if you were converting to a dvd compliant format, the tv doesnt care what the frame rate is. if the xvid player can play the file, your fine.
