I have nvr really understood how the 2 pass XviD function works in Vdub.. is there a tutorial or something that can teach me how to use it as I understand it will yield much higher quality results.

Just very short description:
1. prepare your video for encoding
2. open xvid encoder properties, choose 1st pass
3. encode your video into some temporary file (without audio)
4. open xvid encoder properties, choose 2nd pass
5. encode your video again, this time into final file (and with audio)
If you're using slow filter chain for processing, then it is good idea to filter video first (encode it with some near-lossless codec, like HuffYUV) and then perform a two-pass xvid encoding from filtered video file.

You might want to give Avidemux (http://forum.doom9.org/showthread.php?t=126164) a try, instead of VirtualDub.
In Avidemux just select "MPEG-4 ASP (Xvid)" encoder and "2-Pass Average Bitrate" or "2-Pass Final Size" mode.
It will then do everything automatically for you :)
