A Question About Target Bitrate

When I set a target bitrate is it possible to set it so as not to exceed a top end limit? I have a Creative Zen Vision M and the top end limit for Mpeg 4 is 2.5mbits (2560kbps) but when I have done two pass encoding setting the target bitrate at 2560 kbps I noticed that it will sometimes exceed said rate and my player will then not play the video. The values for bitrate control are hardcoded in profile/level settings. Find profile/level that matches your maximum (or is lower) and use that profile/level to do a two-pass encoding.

[edit] ASP level 4 maybe? It has 3mbps max, might work.
