problems with mp4 video

lo,
when i use megui to create a mp4 container i always get a very ugly videostream. but i don't know why. the "good" one ist a XviD-stream and the "bad" one the result after converting it into mp4 with megui.
is there anything i have to do in order to get better result? what's my mistake?
