VSO DivxtoDVD maybe is the easiest. For quick'n'dirty convertion it gives quite good results. Though reading your remarks about watermark you have used the non-free version - it has such a limitation as trial. There is another older version which is totaly free.
My recomendations are to use Avidemux2. It is not so easy as VSO software, but I think that with resonable efforts you can have the file converted.

Help us to help you. What format are you trying to get to? "mpeg" is an extremely broad term.
Are you trying to create DVDs? SVCDs? VCDs? DivX? All of these are MPEG variations.
(You can look up the media and format capabilities of your dvd player by make and model at www.videohelp.com/dvdplayers.)
Doom9 has general AVI conversion guides; and we also have some specific guides for certain types of AVI, such as analog capture or DV.

Freeware encoder are:
HCEnc, QuEnc, FreeEnc, AutoQmatEnc
Most of them encode only the video stream.
You need to create an avisynth script. Use FitCD for it.
You can use virtualdub (demuxen) und besweet (encoding) for it.
Muxman will do the DVD authoring.
Also you can use TMPGEnc. It has a 30 days trail for MPEG2 and a unlimited MPEG1 encode engine.
Also for 30 days you can try main concept mpeg encoder.
VCDEasy or VCDGear will do the (S)VCD authoring for you.

Quenc will convert both video and audio.
No need for avisynth scripts because Quenc will load them "directly" and the the final video has an amazing quality, just activate all the "bells and whistles" of the program(2 pass, trellis etc)

These are also free and very easy to use. They use ffmpeg to convert avi to vob, but I don't know how good or bad that is quality-wise.
Does anyone know?
