How can I reencode DivX video and put watermark on it?

I have several video clips in DivX format. I would like to put a watermark (or just a logo) on it ans reencode video so that the final compression (of the watermarked video) will be the same as the source's.

Which tools should i use?

Could you give me little tips about it?

Please use the "search" function and put the word "logo" in it. There are many many threads about how adding or remove logos. You have several hours of reading those threads, understand them, how the logo works, make some tries, etc... ;)
