You want to have one file with the movie and one file with the subtitiles??
If so - for the first - use VirtualDub (guide: http://www.doom9.org/virtualdub_procedures.htm)
For the second use VobSub - there is something called VobSub Joiner (or Sub Joiner - do not remember).
