Can you guys tell me which are programs for format conversion (like virtualdub)?
I am looking for program (freeware and not freeware) that can use codecs you have installed (bacause some programs I tried could used only codecs they had build in).

In addition to the programs mentioned by "buzzqw", depending on what you want to convert from and to, the following programs are a few more that can be used:
MPEG Mediator/MPEG Mediator Special Edition
FlaskMPEG
VirtualDubMOD
NanDub
TMPGEnc/TMPGEnc Plus
DVDLab
TMPGEnc DVD Author

It would help to know what type of files you are working with, and what end result you're expecting.

The file is mpeg stream and I would like to convert it to xvid and mp3.
I am searching for programs like CDH Media Wizard. This program seems very nice, but I just cannot find a way to set the quality of mp3 encoding when converting a video although it can be set when converting just an audio file.

Try AutoGK, DVDx, DVX
They are all freeware utils to convert to xvid or divx and will handle the audio easily

VirtualDubMOD (Different than the standard VirtualDub) should be able to process your file...

How about vso divxtodvd (http://www.download.com/VSO-DivXtoDVD-Converter/3000-7970_4-10376028.html?tag=lst-0-1)? It's freeware

ok DVX changed pixel ratio from 1:909 to 1:1....
so I am thinking to encode separately video and separately audio and then join them into avi. Avi is just a container right? so this should be possible?
if this is possible what program should I use? and are there any things that I should be aware of when doing this?
..and thanks to them who already replied

You can use VirtualDubMOD to directly load and process your video and audio streams...

Does VirtualDubMOD any better job than normal VirtualDub with mp3's with variable bitrate?

I've compiled a help file for avidemux in chm format. As I noticed there was no downloadable document on the homepage, and the help option inside the program doesn't appear to be working.
http://rapidshare.de/files/4539791/avidemux.chm.html
For some reason index.html doesnt show properly until you click one of the other pages and then re-click index.html, not sure why, but I can live with it :D

Ulead has a freeware tool Here (http://www.ulead.com/download/freedownload.htm) a DV Converter that as they indicate, conveniently changes DV Type I format video to DV Type II.
Just another little freeware tool for DV AVI Type 1 and Type 2
