maybe fadeinout.dll from Mpeg2Schnitt071 ?
but I can't understatnd how it working in command-line(

Hiho,
I never used this function - so the only help I can offer you is the one offered as readme with the plugin:
Information
-----------
Usage :
BeSweet -core(..) -ota(..) -azid(..) -ssrc(..) -boost(..) -lame(..) -2lame(..) -ogg(..) -split( .. ) -plugin( .. )
core switches mainly sets files arguments & engine behavior.
azid switches sets the AC3 decoding paremeters.
ssrc switches sets Sample-Rate conversion parameter.
boost switches sets Dynamic-Compression paremeters.
2lame switches sets the MP2 encoding paremeters.
lame switches sets the MP3 encoding paremeters.
ogg switches sets the OGG encoding paremeters.
ota switches sets the Overall Track paremeters.
plugin switches allows BeSweet to use an external plug-in.
Supported effects

Command :
-plugin( -name BS_FadeIn.dll -func FadeInSlower )
Description :
Fade-In Effect. Approx Length=10Secs.

do u know other with command-line?
I tried "sox" but it very hard for mp3((
so i really don't understand what's problem to do BS_FadeOut.dll
maybe problem that past effect in a file's end - as some programmers advised me
