Audio file out of sync delaycut vdub HELP

Hi, i need some help. I have 2 avi files that both are pal with ac3 5.1 ch audio streams. Here is my problem, i want to join 1st and 2nd files to burn on a dvd. But the audio in second file is about 440 ms ahead. I used many tools now to fix audio but nothing helps. used delaycut and virtualdub; i can fix it using a delay option in delaycut and vdub but when i join avis together, 2nd avi is out of sync. so i tried to correct a video stream instead of audio in vdub; it worked with changing 25 fps to 25.01 fps; but vdub wont let me append it. I need some help with delaycut on how to cut audio properly so i can join without problems: Thanks. Here are the specs:
