newbie question... re-encode

i've got an avi (say it is divx encoded, but it could be xvid or whatever) and i want to re-encode it to mpg (to burn to vcd for example) or mpg2 (to burn to dvd-video for example). putting aside the obvious matter of quality degredation due to re-encoding, what do i need and how do i go about that? thanks...
