problem with joining 2 video segments with different audio sample rates

I'm trying to join 2 aviclips with audio, but virtualdub tells me

Cannot append segment: The audio streams have different sampling rates (24000.00000 vs. 38.28070)

As far as I know, and what gspot tells me, they both have a sample rate of 44100Hz, and are both 192kbit CBR stereo MP3.

Any quick fix for this?

Process both files by VirtualDubMod but in Video folder set the same values of the frame rate per second /third window from the up//process all frames.
Set video for direct stream coping
Than try to append/merge both resulted files
