How to downsize .m2v to .m1v

What's the best program I can use to downsize 720x480.m2v to 352x240.m1v?

You can do it in TMPGEnc (but I don't know if it's the best and you are not allowed to asking about what's best according to forum rules).

Any mpeg1 encoder should be able to decode mpeg2 and encode it to mpeg1.
