Is there any Virtual Dub filter or any kind of software which takes an ac3 *.avi file transcode it into a mp3 *.avi without stripping the audio part before?

I think there is no such program. You have to demux the audio, convert it and mux the video with the new audio.

You could do it with Graphedit. But the result would be crappy and the graph would be complicated due to the crappiness of MP3 and AVI Dshow filters. You are better off using Besweet with avi input and remuxing to AVI with Vdubmod.

Install my AC-3 ACM Decompressor (http://fcchandler.home.comcast.net/AC3ACM) and you can easily do the whole conversion in VirtualDub (nothing else needed).
