Both cards install OK, and no hardware conflict. However, only one card works with TCP/IP, and it's always that, for which is last installed driver or TCP/IP binding.
Searching with google didn't help much, probably I don't know terminology.

What to do you want with 2 network cards ?
ICS?
AFAiK only supported in win98SE or higher.

Curiosity killed the cat :) It's not important, but I tell you that computer should play router (switch, hub) role. One line is coaxial net cable, and it can't be replaced easily, because it goes under earth. Switch died from thunder, and I can't find now it with BNC connector for coax.

Anyway, I have solution:

route -p add IP_of_target mask 255.255.255.255 IP_of_gateway

This is for permanent (-p switch). Two cards must have IP addresses for different subnet. IP_of_gateway should be set same as IP of card which is connected to target (in network setup, where it must be set).
I think that it works under older Win versions too, this is not ICS.
