I just got QCast (www.broadq.com) which is a "media center" app for the Playstation 2. It plays DivX files over a home network, but there are size and framerate limits, and many files I've downloaded will not play. I plan to recompress these in VirtualDub to meet the spec.

Problem is, one of the files uses MS MPEG4v2 for video compression, and VirtualDub doesn't like it. Neither does Premiere. I can play the file just fine into DivX Player 2.1 and Windows Media Player. What do I need in order to convert the files to DivX?

You've posted back-to-back on dl'ed files, and have been around long enought to not only know the policy on this, but to have also seen examples of how we're required to deal with this issue. Oddyseus has requested clarification in your other thread, I'm closing this one.
