Batch encoding

How do I do batch encoding with 2-pass?

btw, im just encoding from a list of mpgs, not ripping and using mpeg2 at all.

edit:
when encoding, does the 1st pass generated file have anything to do with the stats file? because im thinking, if it doesnt, i can just save the 2nd pass .avi into another dir, and keep the job control in order. ie
- movie1 c:\1st pass\
- movie1 c:\2nd pass\
- movie2 c:\1st pass\
- movie2 c:\2nd pass\

etc.etc.

and if the 1st pass file has nothing to do with the stats, what is it for?
