Re-encoding

What is the easiest and fastest program to reencode a .m2v file to a lower bitrate? Also does anyone have a good guide of how do this or can give a brief description? Thanks for the help.

Tmpgenc, CCE or ProCoder.

and ProCoder is a little new for guide, not sure if there is a guide on the way tho, but its not that hard, just a little (bit?) slow.
