I got a divx file from a ntsc dvd and an audio file from a pal dvd.
IŽd like to change the speed of the audio file so it works with the picture.
Do I have to use cool edit to timestretch it (if yes, what is the right percentage??) or are there better tools??

Why not change the framerate in Vdub or NanDub? Seems simple enough to me though I've never tried it.

changin the framerate of the video is easier
but I need to change the audio this time

No percent, adjust the time of the audio stream exactly like the length of your AVI.
Try wavefix and ssrc.
Extract your audio as pcm wav file, use ssrc to convert the audio to 50050 Hz and wavefix to change the header to 48000 again. You can automate this process (http://forum.doom9.org/showthread.php?threadid=24535)
